Terms of Service

1. The agreement

These terms are an agreement between your business ("you", "the shop") and Adelyons Software LLC, PO Box 53, Council Bluffs, IA 51502 ("Adelyons", "we"), for use of PawnCounter at pawncounter.com, the PawnCounter API and PawnCounter Local. By creating an account or uploading a file you accept these terms on behalf of your business. Our Privacy Policy and Data Processing Agreement form part of them.

2. What PawnCounter does

PawnCounter reads the exports your POS and police-reporting system already produce and turns them into reports, a dashboard and offer recommendations.

Recommendations, offers and figures are estimates built from your own history and, where available, market data. They are decision support, not financial, legal or compliance advice. You decide what to pay, lend or charge.

3. Your account

• Keep your sign-in details secure. You are responsible for activity on your account.
• Give us accurate shop and contact details.
• Each account belongs to one shop.

4. Your data and your responsibilities

You own the data you upload. You give us permission to store and process it to provide PawnCounter to you, and to improve the service as described in the Privacy Policy. We keep uploaded files until you ask us to delete them.

Your files may contain your customers' personal information. As a regulated lender you remain responsible for it: you confirm you are allowed to share it with us for this purpose, including under your POS license and any state or federal rules that apply to you (such as the Gramm-Leach-Bliley Act). We handle it as your processor under the Data Processing Agreement.

5. Acceptable use

• Upload only data your shop is entitled to share.
• Do not try to access another shop's data, probe or overload the service, or get around usage limits.
• Do not resell or republish PawnCounter's reports as a service to others without our written agreement.

6. Plans, trials and billing

• Paid plans start with a 14-day free trial. A card is collected at checkout and first charged when the trial ends.
• Design partners receive a 90-day trial by invitation.
• Subscriptions renew automatically each month or year until cancelled. Payments are processed by Stripe.
• You can cancel at any time in the billing portal (Settings → Manage billing). Cancellation takes effect at the end of the current billing period; you keep access until then.
• We do not refund partial periods, except where the law requires it.
• Prices may change; we will give account holders at least 30 days' notice by email before a change applies to them.
• Usage limits for each plan apply as shown in the app. Free use is capped.

7. Availability and changes

We work to keep PawnCounter available and correct, but we do not guarantee it will be uninterrupted or error-free. We may change or improve features. If we discontinue a paid feature you rely on, we will tell you in advance.

8. Our software

PawnCounter, its software, reports design and documentation belong to Adelyons. We give you a limited, non-exclusive, non-transferable right to use them for your shop while your account is active. Reports generated for your shop are yours to use in your business.

9. Ending the agreement

You may stop using PawnCounter and close your account at any time by emailing support@pawncounter.com. We may suspend or close an account that breaks these terms or leaves a bill unpaid, after telling you by email where we reasonably can. After closure you can ask for your data to be deleted, as set out in the Privacy Policy.

10. Disclaimers

Except as stated in these terms, PawnCounter is provided "as is". To the extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose. Estimates depend on the data you provide and on market conditions; we do not promise any particular financial result.

11. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits. Our total liability under these terms is limited to the amount you paid us in the 12 months before the claim.

12. Governing law

These terms are governed by the laws of the State of Iowa, and disputes will be heard in the courts located in Iowa.
